These Terms and Conditions (“Terms”) govern your access to and use of the Retalabs website and services. By placing an order or using our website, you agree to these Terms.

We reserve the right to change these Terms at any time. Changes will take effect immediately after publication. Your continued use of the website constitutes acceptance of the updated Terms.

If you do not agree to any part of these Terms, you may not use our website or services.

Suitability and Use

Who can order

You must be at least 18 years old. Our products are intended exclusively for persons who purchase them for scientific research in a laboratory environment. This includes staff from research institutions, universities and educational institutions, as well as independent researchers working in a laboratory context. By placing an order, you confirm that you will use the Products solely for legitimate research purposes and not for human or animal consumption, medical treatment, or any other non-research purpose.

By placing an order, you confirm that:

✓ You are qualified to handle research chemicals
✓ You have suitable facilities and safety protocols in place
✓ You understand that the products are for research purposes only
✓ You are not buying for personal, medical, or consumer use

Prohibited Uses

You may not:

✗ Using products for human or animal consumption
✗ Resell products to non-research entities
✗ Using the website for illegal purposes
✗ Trying to break or bypass website security
✗ Providing false, misleading, or incomplete information during checkout

We reserve the right to refuse service, close accounts, or cancel orders at our sole discretion.

Products and Research Uses

Research-Only Classification

All products are explicitly labeled and sold for laboratory research and educational purposes only. They are not:

✗ Intended for human or veterinary use
✗ Approved for medical treatment or diagnosis
✗ Suitable for personal, cosmetic or household use
✗ Intended for consumption in any form

Confirmation by customer

By completing a purchase, you acknowledge that:

✓ You understand the research-only nature of the products
✓ You will only use products in controlled laboratory environments
✓ You take full responsibility for proper handling, storage, and disposal
✓ You comply with all applicable local, national and international laws

No medical or health claims

We make no claims about therapeutic benefits, safety for human use, or effectiveness for medical conditions. Product descriptions reflect research applications only.

Ordering and Payment

Order acceptance

Your order constitutes an offer to purchase. We may accept or refuse any order for any reason, including but not limited to:

• Inability to verify research use
• Shipping restrictions or regulatory restrictions
• Unavailability of products
• Suspicion of fraud or violation of these Terms

An order confirmation does not constitute acceptance. A binding contract only arises when the order is shipped.

Prices and Payment

• All prices are quoted in Euros (€) unless otherwise stated
• VAT is applied in accordance with Dutch and EU regulations
• Payment is due at the time of order
• Accepted payment methods include approved electronic and bank-based options
• Eligible business customers can apply for invoice payment terms

Accuracy of Information

You are responsible for providing accurate billing and shipping information. Any costs resulting from incorrect details, including reshipping costs, are at your expense.

Shipping and Delivery

Shipping conditions

✓ Orders placed before 16:00 CET are generally shipped the same working day
✓ Delivery times are estimates and not guaranteed
✓ Risk of loss passes to you as soon as the order is handed over to the carrier
✓ You are responsible for any import duties, taxes or customs fees outside the EU

Delivery problems

Inspect all deliveries immediately upon receipt. Damage, loss, or discrepancies must be reported within 48 hours and supported with photographic evidence.

We are not liable for delays caused by carriers, customs authorities, force majeure or incorrect delivery details.

Failed delivery

If delivery fails due to your absence or incorrect address details, additional costs may be charged for redelivery.

Returns and Refunds

Return Policy

Due to the nature of research chemicals, returns are only accepted if:

✓ Products are unopened and in original packaging
✓ The return request is made within 14 days of delivery
✓ Original documentation is provided

Opened, used, or damaged products are not eligible for return for safety and compliance reasons.

Refund Process

• Refunds will be issued to the original payment method
• Processing time is approximately 5-7 working days after receipt of returned goods
• Shipping costs are non-refundable unless the return is due to our error

Defective or incorrect products

If you receive a defective or incorrect product, please report it within 48 hours. We will arrange a replacement or refund at no extra cost, including return shipping.

Liability and Indemnification

Limitation of Liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for the specific order
• We are not responsible for research results or experimental results
• We do not guarantee the uninterrupted or error-free operation of the website

Indemnification

You agree to indemnify Retalabs, its owners, affiliates and employees for any claims, damages or costs arising from:

• Misuse of products
• Violation of these Terms
• Violation of applicable law or rights of third parties
• Your research activities or results

Force majeure

We will not be liable for any outages or delays caused by circumstances beyond our reasonable control, including natural disasters, war, government actions, supplier outages, or infrastructure failures.

Intellectual Property

All content on this website, including text, graphics, logos, trademarks, and product information, is the property of Retalabs or its licensors.

You may not:

✗ Copy, reproduce or distribute content without written permission
✗ Use trademarks or branding without authorization
✗ Reverse engineering, scraping or extracting data from our systems
✗ Create derivative works based on our materials

Unauthorized use may result in legal action.

Applicable law and disputes

Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law rules.

Dispute resolution

Any disputes arising out of these Terms or use of our services will first be addressed by good faith negotiation. If unresolved, disputes will be submitted to the competent courts of Amsterdam, the Netherlands.

EU Online Dispute Resolution

For EU consumers, the European Commission offers an online dispute resolution platform:

Participation in alternative dispute resolution is not mandatory.
